Assets of Custom Orthotics Manufacturer Business

Sale of Assets of IMG8 LLC., including, without limitation, the following assets:

• Finished goods inventory, including approximately 19,500 pairs of orthotic inserts;
• Tools and molds;
• Office furniture;
• Office equipment;
• All packaging used in connection with the finished goods
• Inventory; and 
• All intangible assets or intellectual property pertaining to the Personal Property, to the extent assignable and transferable under applicable law (collectively, the “Intangible Assets”), including, without limitation, copyrights, trademarks (common and registered), trade names, service marks, service names, patents, websites (including content thereof), domain names, proprietary information, research and development, technical information and data, whether such Intangible Assets are owned or licensed by Seller, or in which Seller has a proprietary interest and/or distribution rights that have not been previously transferred, including, without limitation, the Intangible Assets identified on Schedule 1.1(b) to this Agreement.
