Assets of Commercial Document Shredding Business

Sale of substantially all of the assets of THE KANE COMPANY, et al., described as below:

• All equipment and accessories, including, but not limited to, those identified on
• Schedule 1(a) to the Asset Purchase Agreement (“APA”) attached to the Sale Motion;
• All inventory, finished goods, work in process, spare parts and raw materials;
• To the extent transferable, and subject to any required consents, all permits, licenses, approvals, authorizations, consents, exemptions, waivers and variances granted by any government or governmental or regulatory body, political subdivision, or any agency or instrumentality thereof, or any court that has, in each case, jurisdiction over the THE KANE COMPANY operation;
• Except as provided in Section 2(b) of the APA, all records and files relating to the Property, including, but not limited to, inventory records, sales records, cost and pricing information, supplier lists and reference catalogs;
• All customer lists and related sales information;
• The THE KANE COMPANYright, title and interest in and to the names “Office Shredding” and “Office Shredding, LLC,” as well as all intellectual property, trademarks, logos, websites, URL’s, e-mail addresses, telephone numbers and facsimile numbers of the THE KANE COMPANY, including, without limitation, the following URLs: officeshredding.com, kaneinformatinsecurity.com, ecyclers.com, and teamkane.com;
• All the THE KANE COMPANY rights under warranties, indemnities and all similar rights against third parties to the extent related to any of the Property; and
• All goodwill and going concern value of the THE KANE COMPANY as it relates to the Property.
