Description
Sale of substantially all of assets of Ed’s Beans, Inc. d/b/a Crazy Mocha, Crazy Mocha Coffee, Crazy Mocha Coffee Company, Kiva Han, Kiva Han Coffee, KH, and KHC (the “Seller”), which are used in connection with owning and operating the following nine Crazy Mocha coffee shops: (i) Store #3-Oakland; (ii) Store #4-Carnegie Library; (iii) Store #11- Steel Plaza T-Station; (iv) Store #15-Heritage Valley Sewickley; (v) Store #16-Heritage Valley Beaver; (vi) Store #17-One Mellon Center; (vii) Store #29-UPMC East; (viii) Store #37- Sewickley; and (ix) Store #40-Brighton Rehabilitation Center (the “Coffee Shops”), include the following:
- All inventory and supplies of the Coffee Shops;
- All contracts;
- All intellectual property;
- All furniture, fixtures, equipment, machinery, tools, office equipment, supplies, computer, telephones, and other tangible personal property of the Coffee Shops;
- Certain Unexpired Leases for the leased real property;
- All permits held by the Seller and required to conduct business at the Coffee Shops or for the ownership of the Purchased Assets;
- All rights to any action of any nature available to or being pursued by the Seller related to the Coffee Shops or the Purchased Assets;
- All prepaid expenses, credits, advance payments (except pro-rated prepaid rents covering period from and after the closing date for which the Seller shall be reimbursed as cosign), claims, security deposits, refunds, rights of recovery, rights of set-off, rights of recoupment, deposits, charges, sums and fees;
- All rights and warranties related to the Purchased Assets; and
- Goodwill associated with the Coffee Shops.
