Assets of Coffee Shop Business

Sale of substantially all of assets of Ed’s Beans, Inc. d/b/a Crazy Mocha, Crazy Mocha Coffee, Crazy Mocha Coffee Company, Kiva Han, Kiva Han Coffee, KH, and KHC (the “Seller”), include the following:

• Inventory and supplies;
• Contracts;
• Intellectual property;
• Furniture, fixtures, equipment, machinery, tools, vehicles, office equipment, supplies, computer, telephone, and other tangible personal property;
• Certain Unexpired Leases;
• Permits for the conduct of business;
• All rights to any action of any nature available tor or being pursed by the seller related to the Crazy Mocha Business or the Assets;
• All prepaid expenses, credits, security deposits, refunds, rights of recovery, deposits, advance payments except for pro-rated prepaid rent under the Unexpired Leases for periods form and after the closing date for which the seller will be reimbursed at closing;
• All rights and warranties related to the Assets; and
• Goodwill.
