Assets of Coal Mining Services Business

Sale of substantially all of western assets of the Blackjewel L.L.C. and Revelation Management Corp., related to their operations in the Powder River Basin in Wyoming, consisting of the open-pit surface mines commonly known as the Belle Ayr mine, the Eagle Butte mine and all related facilities and equipment.

The Seller's Western Assets include two open-pit surface mines commonly known as the Belle Ayr and Eagle Butte mines (together, the “Western Mines”) in the Powder River Basin in northeast Wyoming. The Western Mines produce low sulfur, sub-bituminous thermal coal and hold approximately 600 million reserve tons. Based on the current mine plan, the average mine life of the Western Mines is 20 years and maximum annual production capacity is 50 million tons. The Western Mines produced 35.5 million tons in 2018.
