Assets of Biochemical Business

Sale of substantially all of assets of Earth Energy Renewables LLC (the “Seller”). The seller is a Texas limited liability company in the bio-chemical business and employs engineers, technicians, support staff, and management.

The sale assets include without limitation: (i) all intellectual property; (ii) all real property, including the real property consisting of approximately 11.53 acres of land located at 6150 Mumford Road, Bryan, Texas 77087; (iii) all furniture, fixtures, equipment, machinery, tools, vehicles, office equipment, supplies, computers and other IT systems, telephones and other tangible personal property; (iv) all cash and cash equivalents; (v) all accounts and notes receivable; (vii) all prepaid expenses, credits, advance payments, claims, security, refunds, rights of recovery, rights of set-off, rights of recoupment, deposits, charges, sums and fees paid or received by, or accruing to, the Debtor’s estate; and (viii) all executory contracts identified by the Purchaser following the completion of its due diligence investigation.
