Assets of Auto Parts Manufacturing Business

Auction Sale of substantially all of assets of Bolta US Ltd. (the “Seller”), which includes:

• All right, title, and interest in, to, and under the real property leased by Seller set forth on Schedule 1.1(a)(i) (the “Leased Real Property”);
• All inventory owned by Seller that, as of the opening of business on the Closing Date, is located on the Leased Real Property or that has been paid for by Seller but has not yet been delivered;
• All fixtures, furniture, furnishings, equipment, leasehold improvements, and other tangible personal property owned or leased by Seller that, as of the opening of business on the Closing Date, is located on or at the Leased Real Property;
• All right, title, and interest of Seller in, to, and under the Contracts (including personal property leases) set forth on Schedule 1.1(a)(iv) (the “Assumed Contracts”);
• To the extent transferable, all governmental licenses, authorizations, permits, consents, and approvals solely used in the Business;
• All warranties, guarantees, and similar rights related to the Purchased Assets, including warranties and guarantees made by suppliers, manufacturers, and contractors under the Purchased Assets, and claims against suppliers and other third parties in connection with the Assumed Contracts;
• All Intellectual Property solely used in the Business;
• All goodwill solely related to the Purchased Assets and the Business;
• All books, records, files, invoices, inventory records, product specifications, cost and pricing information, business plans, and quality control records and manuals, in each case to the extent permitted by applicable Laws and to the extent solely related to the Business;
• All rights, claims, causes of action, and credits to the extent solely relating to any Purchased Asset or Assumed Liability: and
• The Seller’s right, if any, to use trade name “Bolta”.
