Assets of Agricultural Commodity Firm Business

Sale of substantially all of assets of Agspring Mississippi Region, LLC and its affiliated sellers (the “Sellers”). The sellers assets generally described as the “Big River” assets (excluding the “Mer Rouge,” “Monticello,” and “Pioneer Office & Elevator” properties) (collectively, the “Assets”), which include (A) real property and storage facilities in the Mississippi Delta related to coarse grain, oilseed, and rice handling; and (B) all of the sellers rights in any and all permits and licenses, to the extent assignable, related to the Assets and the registrations necessary for the ownership and operation of the Assets, equipment (installed and uninstalled), other tangible personal property, maintenance and service records for equipment, and records of technical information regarding production and processes required to own and operate the Assets.
