Sale of assets of Spherature Investments LLC which includes Substantially all assets (tangible, intangible, real, personal or mixed) of the Sellers free and clear of all liens, claims and encumbrances, including, without limitation, all cash and all cash equivalents and deposits, all merchant reserves and holdbacks (the “Merchant Reserves”), accounts, executory contracts, unexpired leases, inventory, equipment, investment property, instruments, chattel paper, real estate, patents, copyrights, trademarks, and other general intangibles, and all products and proceeds thereof, other than the Excluded Assets.
