Asset of Alloy Manufacturing Company

Sale of assets of Energy Alloys Holdings, LLC, includes:

1. certain owned real property of the Sellers’ located in Conroe, TX, Houston, TX, Broussard, LA (the “Properties”),
2. certain machinery, equipment, furniture, fixtures and other personal property located at, in, or in the vicinity of the Properties (the “M&E”) and located at the Sellers’ facilities in Conroe, TX, Houston, TX, Broussard, LA, Tulsa, OK, and Edmonton, Alberta (collectively, the “M&E Locations”),
3. inventory located at, in, or in the vicinity of the M&E Locations (the “Inventory”), and (iv) outstanding trade accounts receivable for which the Seller Energy Alloys, L.L.C. (“EA”) has the exclusive right to collect, except for those accounts receivable that are currently the subject of litigation or collected prior to June 14, 2020 and without Hilco’s assistance hereunder
