Sale of the seller's 50% ownership interest in the entity formed as part of the joint venture with ACSID, Harbor Bridge Maintenance Company, LLC (“Harbor Bridge Entity”), which entered into a maintenance contract (the “Maintenance Contract”) with the Project Developer for the sole purpose of acting as the maintenance contractor (“Maintenance Contractor”) on the Project and performing certain operation and maintenance tasks upon completion of the bridge.
The Harbor Bridge Entity does not own real property and its only asset is the Maintenance Contract with the Project Developer. As a result of the bankruptcy filing, the bankruptcy Estate is now the owner of seller's interest in the Harbor Bridge Entity (“Harbor Bridge Interest” or “Property”).
