Assets of Shooting Range Business

Sale of substantially all of assets of Lock & Load Miami LLC (the “Seller”), which includes:

• Firearms: All of the seller's right, title and interest in all firearms owned by the seller, and more described in Exhibits 1 and 2 on the attached PDF;
• Personal and Tangible Property: All of the seller's right, title and interest in all other personal, tangible and intangible property of the seller that is located at the seller's leased premises at 2545 N. Miami Ave., Miami, FL 33127 (the "Premises"), including, but not limited to, ammunition, artwork, books and records ( excluding books and records to be surrendered to the A TF, as stated herein), display items and cases, ammunition, firearms accessories, ear protection, eye protection, tools, merchandise, computers and computer equipment, steel sheets, and furniture, fixtures, and equipment (including vaults in the armory, shooting stalls, steel targets, and backstops) owned by the seller; and
• Intellectual Property: All of the seller's right, title and interest in its tradename, "Lock & Load Miami".
