Assets of Georgia Bioplastic Company

Sale of assets of Danimer Scientific, Inc., includes:

1. the Sellers' PHA manufacturing and related lab facilities located in Winchester, Kentucky (the "Kentucky Plant") and related intellectual property (the "PHA IP" and, together, the "Kentucky Assets");
2. the Sellers' PLA manufacturing and related lab facilities in Bainbridge, GA ("Bainbridge North", "Bainbridge South" and, together, the "Bainbridge Facilities") and related intellectual property (the "PLA IP" and together with Bainbridge Facilities, the "Bainbridge Assets");
3. the Sellers' manufacturing facility in Rochester, NY (the "Novomer Plant") and the related intellectual property (the "Novomer IP" and, together with the Novomer Plant, the "Novomer Assets"); and
4. the Sellers' Greenfield development, including certain real property and equipment (the "Greenfield Assets").
