Assets of Engineering and Construction Services Business

Sale of assets of Spartan Group Holdings, LLC, et al., (the “Sellers”), which includes:

All the direct and indirect right, title and interest of the sellers in and to all of the following assets to the extent not Excluded Assets: (i) cash and cash equivalents (other than $275,000, which will remain with sellers); (ii) account receivables and all supporting obligations relating thereto; (iii) equipment and fixtures; (iv) furniture; (v) vehicles (motorized and non-motorized); (vi) general intangibles (including all payment intangibles and software) and all supporting obligations relating thereto; (vii) inventory (including raw materials, finished goods and work in process); (viii) miscellaneous personal property; (ix) intellectual property, including trademarks, trade names, domain names website URL and website content data; (x) lines of business and business opportunities; (xi) securities, investment property, and financial assets; (xii) rights of payment that have been earned under contract rights (but not including the assumption or assignment of any Contracts themselves), chattel paper, commercial tort claims, documents (including warehouse receipts and bills of lading), deposit accounts, goods, instruments (including promissory notes), letters of credit and letter-of-credit rights, certificates of deposit, insurance proceeds, security agreements, tort claim proceeds, insurance claim proceeds, rights to royalty and license payments, and all supporting obligations; (xiii) deposits and other receivables or refunds, including insurance premium refunds, federal and state refund payments; (xiv) product codes and associated data, product licenses and quality or technical approvals of products, product drawings and any intellectual property; (xv) all Books and Records; and (xvi) to the extent not otherwise included, all proceeds and products of the property described in clauses (i) through (xiv).
