Assets of Aircraft Manufacturing Company

Sale of assets of Seawind, LLC, et al., (the “Seller”), which include: (i) the Seawind 300C Test Aircraft, assemblies, subassemblies and detail parts, (ii) potential inventory sales materials, (iii) the Seawind Trademark, (iv) customer lists, files and other confidential information regarding potential clients/investors for the Seawind Project, and (iv) the sellers' interests in ADC. The Non-Seller Assets associated with the Seawind Project include: (i) other intellectual property, proprietary information, research and development, drawings, specifications, designs, copyrighted materials (including the aircraft’s manuals) and trade secrets, (ii) plugs, molds, jigs, tools, equipment, machinery and files, (iii) the entirety of the kit plane company assets, and (iv) any and all interests in SNA, Inc. which is 100 % owned by the Estate of Richard Silva.
